Terms of Service

1. Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you and Epimeno Holdings LLC, a Wyoming limited liability company ("Epimeno," "we," "us," or "our"). They govern your use of epimenoholdings.com (the "Site"), our property submission service, and all communications and services we provide.

By using the Site, submitting a property, or communicating with us, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Site or services.

If you are using the Site on behalf of a business, estate, trust, or other entity, you represent that you have authority to bind that entity to these Terms.

2. Description of our services

Epimeno is a private home-buying company. We:

  • Receive property submissions from homeowners, heirs, executors, agents, and other parties
  • Evaluate properties using public records, comparable sales, and condition information you provide
  • Make non-binding cash offers when a property fits our buying criteria
  • Close transactions directly through licensed title companies when you accept an offer
  • Communicate with you about your inquiry and offers via the channels you authorize

We are not a real estate brokerage. We do not represent buyers or sellers as an agent. We are a direct buyer of real property.

3. Eligibility

To use our Site and services, you must:

  • Be at least 18 years old
  • Have legal authority to sell the property you submit (as owner, joint owner, executor, trustee, or authorized agent)
  • Provide accurate, current, and complete information
  • Comply with all applicable federal, state, and local laws

We may decline to work with anyone, for any lawful reason, at our discretion.

4. Account and user responsibilities

We do not currently require user accounts. You are responsible for the accuracy of any information you submit and for maintaining the confidentiality of any communications you receive from us.

You agree to:

  • Provide truthful information about yourself and the property
  • Not impersonate another person or entity
  • Not submit properties you do not own or have authority to sell
  • Not use our Site to harass, defraud, or harm any other person

5. Acceptable use

You may not:

  • Submit false, misleading, or fraudulent property submissions
  • Scrape, spider, or harvest information from our Site without permission
  • Reverse-engineer or attempt to access our backend systems
  • Interfere with the operation of our Site or marketing systems
  • Use our Site to transmit spam, malware, or harmful code
  • Bid up properties or otherwise manipulate the cash offer process in bad faith
  • Use any form on the Site for prospecting, recruitment, or solicitation

We reserve the right to block, suspend, or terminate access for any user who violates these Terms.

6. Property submissions

a. What you submit

When you submit a property to us, you provide information about your contact details, the property, your situation, and your timeline. This information forms the basis for our evaluation and any offer.

b. Your representations

By submitting a property, you represent:

  • You have legal authority to share the information you provide
  • The information is accurate to the best of your knowledge
  • You are providing this information voluntarily to obtain an offer
  • You understand that the information may be shared with third parties (title companies, attorneys, contractors, our buyer network) for evaluation and closing

c. Our discretion to review

We are not obligated to make an offer on any property. We may decline to make an offer for any lawful reason, including but not limited to: property condition, title issues, market conditions, or our internal buying criteria.

d. Use of property information for analytics and marketing

You grant us a perpetual, non-exclusive, royalty-free license to use the property information you submit (in anonymized or aggregated form) for our internal business analytics, market research, training, and marketing — including case studies, blog content, social media, and advertising. We will not include your name, address, or other identifying details in any public marketing without your explicit prior consent.

7. Cash offers

a. Offers are non-binding until a written purchase agreement is signed

Any cash offer we communicate to you — by phone, text, email, or written letter — is a non-binding indication of what we may pay, subject to:

  • Verification of property condition
  • Verification of title
  • Successful negotiation of contract terms
  • Execution of a written Purchase and Sale Agreement signed by both parties

A binding agreement exists only when both parties have signed a written Purchase and Sale Agreement.

b. Offer expiration

Our offers are typically valid for 7 days unless we specify otherwise in writing. After expiration, we may revise or withdraw the offer at our discretion.

c. Inspection and adjustment

We may inspect the property in person before closing. If the property's condition materially differs from what was represented, we reserve the right to renegotiate or withdraw the offer.

d. No fees or commissions

We do not charge homeowners commissions, listing fees, or service fees. Standard closing costs (title fees, transfer taxes, recording fees) are paid as customary in Colorado, typically split between buyer and seller per the Purchase and Sale Agreement.

e. Your right to decline

You are under no obligation to accept any offer we make. You may walk away from negotiations at any time before signing a binding agreement, with no penalty.

8. Communications consent

By submitting any form on the Site, calling us, or otherwise initiating communications with us, you consent to receive communications from Epimeno through the channels you provide.

a. SMS / text messages

If you provide a phone number AND check the SMS consent box on a form, you provide express written consent under TCPA to receive SMS messages from us, including via automated dialing technology. Message frequency varies. Standard message and data rates apply. Reply STOP to opt out, HELP for help. See our Privacy Policy for full details.

b. Phone calls

If you provide a phone number, you consent to receive phone calls from us about your inquiry, including manually dialed calls and, with your additional consent, automated or prerecorded calls. You may opt out of phone communications by telling us during any call or by emailing info@epimenoholdings.com.

c. Email

If you provide an email address, you consent to receive transactional and (with your separate opt-in) marketing emails. Every marketing email includes a one-click unsubscribe link.

d. Consent is not a condition of any purchase or service

You can receive a property evaluation and offer from us without consenting to marketing communications. However, transactional communications related to your specific inquiry (such as the offer itself, scheduling, and closing coordination) are necessary to provide our services.

9. Marketing license

By signing up for our newsletter, downloading a resource, or otherwise providing your contact information for marketing purposes, you grant us a non-exclusive, royalty-free license to:

  • Send you marketing content via the channels you've opted into
  • Track engagement (opens, clicks) to improve our content
  • Segment our list based on your engagement and preferences
  • Use anonymized engagement data for analytics and content planning

You can withdraw this license at any time by unsubscribing.

10. Intellectual property

The Site, including all text, graphics, logos, images, code, and other content, is the property of Epimeno Holdings LLC or our licensors and is protected by US and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written permission.

You may share Site content for personal, non-commercial purposes (e.g., emailing an article to a friend, posting a link on social media).

11. Third-party links and services

The Site may contain links to third-party websites or services not operated by us. We are not responsible for the content, privacy practices, or terms of those third-party services. Your use of any third-party service is at your own risk and subject to their terms.

12. Disclaimers

THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

  • That the Site will be available without interruption
  • That our property evaluations or offers will reflect any specific market value
  • That any particular offer will be accepted by us or by you
  • That third-party services we use will perform as expected

Nothing on the Site constitutes legal, financial, tax, or real estate advice. Consult qualified professionals for advice specific to your situation.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EPIMENO HOLDINGS LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising from these Terms or your use of the Site shall not exceed $1,000 or the amount you have paid us in the 12 months preceding the claim, whichever is greater.

Some jurisdictions do not allow limitation of certain damages. To the extent those limitations apply, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Epimeno Holdings LLC and our officers, employees, agents, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any third-party rights
  • Inaccurate or fraudulent property information you submit
  • Your unauthorized use of the Site

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles.

For real estate transactions involving property in Colorado, Colorado real estate law governs the property aspects of the transaction (as required by law), while these Terms continue to govern the Site, marketing, and other operational aspects.

a. Informal resolution first

Before filing a formal claim, you agree to contact us at info@epimenoholdings.com and attempt good-faith resolution for 30 days.

b. Binding arbitration

If informal resolution fails, any dispute arising from these Terms or your use of the Site shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be held in Denver, Colorado, conducted in English, and the arbitrator's decision shall be final and binding.

You waive your right to a jury trial and to participate in class actions.

Exception: either party may bring claims in small claims court for amounts under the small claims jurisdictional limit.

16. Termination

We may suspend or terminate your access to the Site at any time, for any lawful reason, with or without notice.

You may stop using the Site at any time. To delete your information from our records, see the Privacy Policy.

Provisions that by their nature should survive termination — including but not limited to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will:

  • Update the "Last Updated" date
  • Post the revised Terms on this page
  • For material changes, give at least 14 days notice via email or prominent Site notice

Your continued use of the Site after changes constitutes acceptance of the updated Terms.

18. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • No waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms. We may assign them to a successor entity.
  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Epimeno regarding the Site and our services.
